N3UR4L Editorial Book Review Service – Terms of Service

Acceptance of Terms

By purchasing a book review from N3UR4L (“we,” “us,” or “our”), you (“the Customer” or “Author”) agree to the following Terms of Service. This agreement is a legally binding contract between you and N3UR4L, LLC, an Arizona-based company. If you do not agree with these terms, do not use our editorial book review service. Using the service (including by submitting a book and payment) constitutes acceptance of these terms.

Service Description

N3UR4L Book Review Service: N3UR4L provides professional, paid editorial book reviews for authors and publishers. Each review is an objective, critical evaluation of your book, similar in quality and tone to reviews offered by other reputable paid review services (e.g. Kirkus, BlueInk, Clarion)

Our reviews are approximately 500–750 words in length, providing a thorough critique of the book’s content, style, and merit. The review will highlight strengths and weaknesses and will be written to industry standards of honesty and impartiality

We strive to ensure fairness and consistency by evaluating your work in the context of other publications in its genre, so that feedback is appropriate for the book’s category and audience. AI-Enhanced Review Process: N3UR4L utilizes a hybrid review process whereby an initial draft is generated with the assistance of artificial intelligence, followed by thorough review and editing by human professional reviewers and editors. This two-step process helps maintain efficiency while ensuring the final output meets our quality standards for accuracy, clarity, and fairness. Human oversight ensures that the AI-generated content is fact-checked and aligned with the nuanced standards of professional book criticism.

Objective and Independent Evaluations: All N3UR4L reviews are editorially independent. Customers have no influence over the content of the review beyond providing the book itself. Our reviewers (and AI systems) operate without input from the author regarding preferred outcomes. You will not know the identity or background of the individual reviewers, and you may not request a specific reviewer. N3UR4L retains full discretion over reviewer assignment and the content of the critique, similar to the policies of other review services. The review process is anonymous and free from author interference, ensuring an unbiased outcome.

Review Content and Impartiality

Honest, Unbiased Critique: N3UR4L guarantees an impartial and unbiased review of your book’s final content. While we aim to provide a professional and constructive critique, we do not guarantee that the review will be positive or laudatory. The review may be positive, negative, or mixed in tone, as it will reflect the genuine opinion of our reviewer about your work. This approach follows industry norms: paid review services promise honesty, not a favorable outcome.

You acknowledge that you are seeking an honest critical assessment, not an endorsement or advertisement. The service being provided is the review itself (the evaluation of your book), not a predetermined result or a marketing blurb crafted to your specifications.

Comparative Evaluation: To ensure fairness, our reviewers consider your book within the context of its genre and the current literary landscape. They may compare and contrast your book’s elements (such as plot, style, character development, etc.) with common standards or notable works in the same genre. This helps guarantee that the critique is balanced and genre-appropriate, similar to how traditional editorial reviewers maintain consistency when judging books of a particular type. Our goal is to provide feedback that is relevant and constructive for the genre in which you write. No Guarantee of Favorable Review: By using N3UR4L’s service, you acknowledge that there is no guarantee of a positive review.

Our reviewers will use their best efforts to be fair and impartial, but they will also be candid. The review will be the result of one reviewer’s (or a review team’s) subjective analysis of your work, and as such, it may include criticism. N3UR4L does not influence reviewers to write positive comments; we expect honest feedback, in line with standard practices of credible review outlets. Please note: A negative or critical review is not an error on our part but a possible outcome of an objective critique. By agreeing to these terms, you accept this risk. However, keep in mind that even less-than-positive reviews often contain constructive elements or positive notes that you might use to improve your work or for promotional excerpts.

Subjectivity of Reviews: You understand that book reviews are inherently subjective. The critique represents the opinions and interpretations of our reviewer (and editorial team) based on their reading of your book. Different reviewers or readers might have varied opinions. N3UR4L’s review may focus on certain aspects of the book that the reviewer finds noteworthy; your intent as the author and the reviewer’s experience as a reader might not fully align. Nonetheless, our commitment is to an honest, professional evaluation grounded in the reviewer’s expertise and the norms of literary criticism.

Factual Accuracy: Our reviewers will evaluate the book as provided. If your book contains factual content (e.g., nonfiction claims), the reviewer may comment on apparent inaccuracies or strengths of research, but N3UR4L does not independently fact-check all content. The review itself will be checked for factual accuracy regarding your book (e.g., we aim to correctly state characters’ names, plot points, etc.). If you believe the review contains a factual error about your book (for example, a plot detail misunderstood), you may notify us. N3UR4L may, at our discretion, correct factual errors in the review. However, differences of opinion or perspective are not considered “errors” and will not be changed. We do not revise the critique simply because you disagree with the reviewer’s assessment. No “second review” or alternate reviewer will be provided if you dislike the opinions expressed.

Turnaround Time and Delivery

Standard, Express, and Lightning Service: N3UR4L offers three review service speeds: a Standard Review, an Express Review, and a Lightning Review. For a Standard Review, the typical turnaround time is approximately 30 calendar days from the date we confirm receipt of your finalized book manuscript and payment. For an Express Review, the turnaround time is approximately 10 calendar days from confirmation of receipt of your book and payment. For a Lightning Review, the turnaround time is approximately 3 business days from confirmation of receipt of your book and payment. Express and Lightning reviews are prioritized in our queue to meet the shorter deadlines.

Delivery Method: Completed reviews will be delivered to you via email (to the email address you provide at purchase). You will receive the written review (500–750 words) in a document format and/or as text in the email body, along with a link to the review on our website (if you have not opted out of publication — see Publication of Reviews section below). Estimated Timeframes, Not Guarantees: While we make every effort to meet the stated turnaround times, these timeframes are estimates. N3UR4L does not guarantee that a review will be completed exactly within the specified number of days, but we will use best efforts to deliver on or before the deadline. Most standard reviews in the industry are completed in roughly 4–8 weeks.

If unforeseen circumstances (e.g. reviewer emergencies, unusually high volume of orders, or difficulty in finding a suitable reviewer) cause a delay, we will inform you as soon as possible and provide an updated delivery estimate. Minor delays in delivery will not entitle the customer to a refund, given that the service is still being rendered (the review will still be delivered). If N3UR4L is unable to complete the review within a reasonable extended period or at all (for instance, if we must cancel the review due to reasons outlined below), a remedy will be provided as described in the Cancellation section.

Customer Responsibilities for Timely Delivery: To help us meet the turnaround times, you are responsible for providing us with the complete, final version of your book manuscript promptly after purchase (if not already provided at the time of ordering). Delays in receiving the book will push the timeline out. We do not begin the review clock until we have both the payment and all information required on our book submission form, which includes a readable copy of the book. Due to the structure of our integrated A.I. interface, only digital submissions are accepted by N3UR4L. Do not send physical copies of your book as they will not be reviewed. The delivery schedule starts once all files are confirmed as accessible. If we encounter technical issues with a file you send (e.g., a corrupted eBook file), we will notify you to re-send, and the clock may restart from when we receive a working copy.

Pricing and Payment

Prices: The fee for a Standard 30-day Review is USD $25, the fee for an Express 10-day Review is USD $50, and the fee for a Lighting Review is USD $100. These prices are subject to change in the future based on industry conditions and our competitive landscape; however, the price applicable to you is the one advertised at the time you place your order (and pay). We will not retroactively change the price for a review you have already purchased. Any future price adjustments will be posted on our website or order form, and new orders after the change will be charged the updated rate.

Payment Terms: Payment in full is required upfront for all review orders. We accept the payment methods indicated on our website (such as credit card or PayPal). No work will begin on your review until full payment has been received and confirmed. Once you submit your order and payment, it is considered a commitment from both parties: we commit to assigning and completing your review, and you commit to these terms including the understanding that the fee is non-cancellable and non-refundable as described below.

No Refunds Policy: All payments to N3UR4L for book reviews are non-refundable. This is a standard practice for fee-for-review services. By purchasing, you acknowledge that no refund will be provided except in the specific circumstance where N3UR4L itself must cancel or cannot deliver the service (detailed under Cancellation). In particular, you will not be entitled to a refund if you are unhappy with the content of the review or if you decide after the fact that you do not want the review published. The rationale is that the fee covers the work of reading and reviewing the book – a service that is rendered regardless of the outcome of the critique. (Major review providers state that negative reviews or outcomes the author dislikes are not grounds for a refund.)

Additionally, once the review process has begun, resources are allocated and the reviewer’s time is spent; therefore, we cannot cancel midway and reallocate those resources to something else. Please purchase a review only if you understand and agree to this no-refund policy. (Opting not to publish your review on our site is your choice, but it does not affect the fee; see Publication of Reviews below).

Upfront Service Fee: The full price is charged upfront for each review request, as a single one-time service fee. This fee covers the review of one book (one title). If you have multiple books, each requires a separate purchase. The fee includes the review process and the delivery of the written review to you, as well as posting it on our site (if you do not opt out). The fee does not include any guaranteed marketing or distribution beyond what is stated (though you are free to use the review in your marketing as per the license granted in these terms). There are no recurring charges; this is not a subscription service.

Taxes: If applicable, sales tax or VAT may be added at checkout depending on your location. (For Arizona residents, any required sales tax will be calculated and collected in compliance with state law.) All prices are listed in U.S. dollars.

Cancellation by N3UR4L; Refusal of Service

N3UR4L reserves the right to refuse or cancel a review request at our discretion. Reasons for refusal might include (but are not limited to) the following: the submitted book contains hateful or plagiarized content that we deem inappropriate for our reviewers (see Submission Guidelines); the book is not in a readable format or is an audiobook (we currently only review written works); the author has attempted to influence the review inappropriately; or we determine we cannot find a suitable reviewer for the book’s subject matter. We may refuse a submitted request for any or no reason prior to completing the review. If we decide to refuse or cancel your review request before the review is delivered, we will notify you and provide a full refund of any payment you have made for that review unless the book fails to comply with our Submission Guidelines; in which case, no refund will be issued, as review efforts are still expended in determination of breach of Submission Guidelines. Once a refund is issued, N3UR4L has no further obligation to you regarding that review request.

Please note that you (the customer) cannot cancel your review request and obtain a refund once the order is placed and the review process has begun. As stated in Pricing and Payment, all sales are final. If you choose to withdraw your book from consideration or decide you no longer want the review after payment, we will not refund the fee, and we may or may not continue to complete the review at our discretion (typically, if an author truly does not want the review written, we will honor that wish and stop work, but no money will be returned since the resources were allocated).

Publication of Reviews

Default Publication on N3UR4L.com: Unless you explicitly opt out (as described below), the completed review of your book will be published on our official website (N3UR4L.com) and/or any N3UR4L publications or channels. We will create a webpage for your book’s review, which can serve as a permanent link you can share. The review may also be included in N3UR4L’s promotional materials, such as example reviews, newsletters, or social media posts highlighting our review content. Publicly posting the review provides added exposure for your book and transparency about our service. By default, we assume you agree to have the review made public once it’s finished.

Option to Opt-Out of Publication: After you receive and read your review, if you decide that you do not want the review to be published on our website, you have the right to opt out of publication. This is in line with common industry practice that allows authors to keep a paid review private if they wish. To exercise this option, you must notify N3UR4L in writing (email is acceptable) within a specified period after delivery of the review. We ask that you notify us within 10 calendar days of receiving the review (if more than 10 days pass with no opt-out request, we will proceed to publish). In your notification, please explicitly state that you do not want the review published on the N3UR4L website. We will confirm receipt of your request. Once you opt out, N3UR4L will refrain from publishing the review on our site or in any public channel. The review will be provided to you for your private use only.

No Refund for Opting Out: Choosing not to publish your review does not entitle you to a refund or any form of credit. Whether or not the review is published, the service (the creation of the review) has been provided and the fee remains earned. In industry terms, your only remedy if you are dissatisfied with the review’s content is to keep it private (unpublished) – you have no other recourse to seek compensation or damages due to an unfavorable review. N3UR4L, similar to other review services, makes it clear that an author’s disappointment with a review cannot be the basis for a refund or legal claim.

By opting out of publication, you simply prevent the review from being seen publicly on our platforms, but you cannot void the transaction. This policy ensures that our reviewers can remain completely honest in their assessments without pressure to produce only positive reviews; it also aligns with the understanding that the fee is for the effort of reviewing, not for a positive endorsement.

Author’s Choice and Timing: If you initially permit publication (or miss the window) and later change your mind, you may contact us to request removal. We will consider such requests, and if we agree, we will remove the review from our website. However, note that once published, we cannot guarantee the review will be completely erased from the internet even if removed from our site (for instance, web caches or snippets in search engine results might still show portions of it). Additionally, if N3UR4L has already distributed the review through any partner channels or newsletters, we cannot retract those. We therefore encourage you to decide during the initial window whether you want the review public or not.

Publication Format and Edits: If published on our website, the review will typically display the book’s title, author name, and the review text. We may also include the book’s cover image and basic bibliographic information. N3UR4L reserves the right to make minor copy-editing corrections to the review for clarity or house style before publication (this will not change the substance of the critique, just presentation). We will not add or remove significant content without reason – the review as delivered to you will be substantially the same as the one published, barring minor proofreading edits or necessary legal redactions (for example, if the review inadvertently contained some defamatory phrasing or something that needs adjustment, though this is unlikely given our editorial oversight). Public Comment or Responses: If published, readers on our site may be allowed to view and possibly comment on the review. N3UR4L expects civility in any public comments and will moderate as needed. As the author, if you engage with your review publicly (like responding to it on our site or social media), we ask that you remain professional. N3UR4L does not get involved in author-reader discussions beyond hosting the review content.

Use of the Review by Author (License and Intellectual Property)

Ownership of Review Content: The written review produced by N3UR4L is considered original content authored by our reviewers/editors (with AI assistance) and is the intellectual property of N3UR4L. N3UR4L retains full ownership and copyright of the review text. This is necessary because the review is an original work (a form of literary criticism) created by our team. We reserve all rights to that content, including the right to publish, reproduce, or modify it. License to You for Reuse: Notwithstanding our ownership of the review, once the review is completed and delivered to you, N3UR4L grants you (the customer/author) a limited license to use the review for your own purposes. Specifically, you are granted a non-exclusive, non-transferable, royalty-free right to reproduce the review, in whole or in part, for marketing and promotional purposes related to your book.

In simpler terms, you are welcome to reprint the review or excerpts from it anywhere you like – on your book cover, in press releases, on your personal website or blog, in social media posts, on Amazon or other retail pages under “editorial reviews,” etc. – with no additional fee. This license is worldwide and lasts indefinitely. We encourage authors to make use of their reviews in this manner, as a professional third-party review can be a valuable marketing tool. Conditions of Use – No Alteration or Misrepresentation: If you choose to excerpt or quote the review (as opposed to using it in full), you agree that you will do so accurately and without misleading modifications. You may not change wording or cherry-pick phrases in a way that alters the original meaning or tone of the review.

For example, you should not take a negative sentence and quote only a clause out of context to imply praise, nor should you add your own words into the middle of the reviewer’s sentences. Any excerpt should fairly reflect the content of the review. Minor cuts for length are fine (e.g., using a partial sentence) as long as the result is still true to the reviewer’s intent and not deceptive. You also agree not to edit the review for the purpose of correcting criticism (you cannot “fix” what the reviewer said by altering their words). Essentially, you may excerpt but you cannot falsify or create a “franken-quote.” This is a standard expectation; for instance, Kirkus’s policy explicitly prohibits adding words or deceptive editing and requires preserving the integrity of the review when excerpting.

Attribution Requirement: When you use the review or any portion of it publicly, you must include attribution to N3UR4L as the source. Typically this can be done by saying “— N3UR4L Book Review” or a similar credit line after the quote, or by referencing that it is a review by N3UR4L in your text. If published on a website, you should, where feasible, link back to the review’s page on N3UR4L’s website (we will provide you with the URL). Proper attribution is important for transparency and it also helps promote our service, which in turn allows us to continue offering reviews.

Failure to credit N3UR4L when using the review publicly may be considered a breach of this license. (If an excerpt is very short – e.g., “Engaging and suspenseful” – you should still mention it’s from N3UR4L’s review somewhere in the vicinity, such as on the book cover or press release.)

Permissible Alterations: The only alterations you may make to the review text are minor copy edits needed to fit a context, such as changing a British spelling to American if quoting one word, or adjusting a pronoun for grammatical flow in your sentence (for instance, changing “It is a thrilling ride” to “…a thrilling ride…” in a longer quote). Such changes should be minimal. If you are unsure whether an excerpt is acceptable, you can contact us for guidance or look at how other authors excerpt editorial reviews.

No Endorsement or Trademark Use: You may not use N3UR4L’s name, logos, or trademarks in any way that suggests N3UR4L is endorsing your book beyond providing a review. Using the review in your marketing is allowed, but you cannot say or imply that “N3UR4L recommends” or “N3UR4L guarantees” anything about your book. The proper way to use our name is strictly as an attribution for the review text or star-rating if one is provided. Additionally, aside from quoting or reproducing the review text, you may not use N3UR4L’s name or branding to advertise services or products. Any use of our trademarks, trade name, or logo must be incidental to the permitted use of the review and in accordance with these terms.

Revocation of License: In the unlikely event that you violate the above conditions (for example, by heavily distorting the review’s meaning in an advertisement, or not giving attribution), N3UR4L reserves the right to revoke the license we have granted. That means we could withdraw permission for you to further use our review content. We would notify you if this were necessary and request you cease and desist a certain use. Our goal is not to be punitive, but to protect the integrity of our content and brand.

N3UR4L’s Use of the Review: Independently of your use, N3UR4L retains the right to use the review content ourselves. We may publish it on our website (as covered), include it in compilations (e.g., “Book of the Week” features or portfolios of past reviews), and use it to promote our own services (for instance, showing an excerpt as a sample of our work). We will not, however, sell your review to third parties or license it out of context of its purpose (the context being a review of your book). If we have partnerships with book databases or services (as some review outlets do) we might syndicate the review there, but it will always be in the context of being a review of your book, not as an endorsement. For example, some reviews might be indexed in library databases or book review aggregators with our discretion.

Your Book Content: You retain all rights to your underlying book. By submitting your book for review, you grant N3UR4L the permission to read and evaluate it, and to quote briefly or summarize parts of it in the review for critique purposes. We will never publish your book text itself (beyond brief quote extracts under fair use) – we only publish the review. We do not claim any ownership of your book’s intellectual property. This is simply a service performed on your content.

Author Representations and Warranties

By ordering a review, you make the following representations and promises to N3UR4L:

Right to Submit the Book: You represent that you are the author or rights-holder of the book to be reviewed, or you have obtained all necessary permissions to have the book reviewed and to allow N3UR4L to use excerpts in the review. In other words, you have the legal right to provide us with the book and to receive a review of it. If the book is co-authored or owned by a publisher, you have that party’s authorization to seek this review.

Originality and Rights Clearance: You warrant that the book’s content does not violate any law or infringe on any third-party rights. No part of the book is libelous or plagiarized, and it does not unlawfully use anyone else’s copyrighted material, trademarks, or confidential information. If your book is non-fiction, you further warrant that to the best of your knowledge it does not defame any person or entity. Essentially, the content you wrote is either, entirely yours or used with permission, and you’re not dragging us into any legal disputes by reviewing it.

Indemnification Clause: You agree that if any third party brings a claim against N3UR4L due to the content of your book or the fact that we reviewed it (for example, a claim that your book infringes their copyright, or a person mentioned in your book objects to how they are portrayed and includes our review in a lawsuit), you will indemnify and defend N3UR4L. “Indemnify” means you will cover any losses, damages, or costs (including reasonable legal fees) that N3UR4L incurs as a result of such a claim. This protects us from legal liability stemming from the book’s content, which we have no control over. We are providing a critique; we didn’t create the underlying content, so you bear responsibility for it. We will notify you if any such claim arises and will cooperate with you, but you would be expected to handle the defense or settlement. (This situation is rare, but it’s important to have on record.)

Accuracy of Information Provided: You confirm that all information you provide to N3UR4L in the order process is accurate and truthful. For example, details like your contact information, the version of the book (final manuscript) you submit, and any metadata about the book (title, author name as it should appear, etc.) are correct to your knowledge. If the book has multiple editions, you ensure we are reviewing the correct and authorized version.

No Expectation of Endorsement: You acknowledge that you are not purchasing a positive review and that you have no agreement with N3UR4L for any specific outcome. You haven’t been promised any particular rating or language in the review. Any marketing benefit you hope to gain will come from the honest content of the review, not from a falsely inflated assessment. You entered this agreement understanding the risk that the review could be critical.

These representations and warranties are important; if it turns out you breached any of them (for instance, you didn’t have the rights to the book or it was plagiarized), N3UR4L reserves the right to terminate the service and you would be responsible for any costs or damages arising from the breach.

Disclaimers of Warranties

Service Provided “As Is”: N3UR4L provides the book review service on an “as is” and “as available” basis. This means we make no broad warranties about the service beyond what is explicitly promised in these terms. We specifically disclaim any implied warranties that might apply. For example, we do not warrant that the service will meet all your expectations or that the review will boost your book sales or career. In fact, we make no guarantees of results to be obtained from the review. The outcome (positive, negative, or otherwise) and the impact it has are not guaranteed. We also disclaim any implied warranty of merchantability or fitness for a particular purpose – in context, this means we are not guaranteeing that our review service is “fit” for making your book successful or “merchantable” in the sense of increasing its marketability.

We provide one product: a professional review, which is an informed opinion. No Warranty of Uninterrupted Availability: We do not guarantee that our website will always be up or that the review will be continuously displayed without downtime. If our site experiences technical issues, we will address them, but we aren’t liable for temporary outages. (This is generally only relevant if your review is published on our site; if downtime occurs, it will be restored as soon as practicable, similar to Kirkus’s policy on restoring service.

Not a Certifier of Quality: N3UR4L is not a publishing house or an award committee; we are a review service. Our review should not be construed as certification of your book’s quality or lack thereof by any official standard. It is one reviewer’s critique. We do not warrant that readers, retailers, or libraries will make decisions based on our review. (They might – as editorial reviews can influence such decisions – but we can’t promise any particular reaction from third parties.) No Liability for Review Opinion: You agree that N3UR4L is not responsible for how you or others might feel about the content of the review. The opinions expressed are those of our reviewer and are offered in good faith as a fair critique. We do not guarantee you will agree with them. By commissioning the review, you accept that risk. External Services: If our service included any external components (for example, if we partnered with a third-party distributor to share reviews), we would disclaim responsibility for those third-party services’ performance. However, at this time, our primary service is simply writing and optionally publishing the review, with no reliance on external platforms beyond our own site and standard email delivery.

Limitation of Liability

Cap on Liability: To the maximum extent permitted by law, if N3UR4L (or any of its owners, employees, or contractors) is found liable for any matter arising from this agreement or the review service, our total cumulative liability will not exceed the amount you paid for the review. In other words, the most you can potentially recover from N3UR4L, through legal action or any other claim, is the fee you paid us. This limitation is a common term in service agreements and reflects that we are only receiving a small fee for the service, so we cannot take on open-ended liability. You agree that this is a fair allocation of risk.

No Indirect or Consequential Damages: N3UR4L will not be liable to you for any indirect, incidental, special, or consequential damages arising out of your use of our services or the review itself. This includes, for example, no liability for lost profits, lost opportunities, damage to your reputation, emotional distress, or the like that might result from a negative review or from any delay or error in providing the service. We understand a bad review might subjectively feel harmful to an author’s career or feelings, but by agreeing to these terms, you are accepting that risk and waiving any claim against us for such outcomes. Similarly, if a positive review doesn’t magically increase your sales, you cannot hold us liable for the lack of impact. We also won’t be liable for things like you commissioning a costly reprint of your book cover to include a quote from our review, only to later regret it; those types of decisions and any costs incurred are on you.

No Legal Recourse for Review Content: You explicitly agree that you have no legal recourse against N3UR4L or our reviewers for the content of the review itself. This is crucial: you cannot sue us for defamation, libel, or any other theory, simply because the review contains negative statements about your book. The review is an opinion and you have invited it by seeking out our service. We operate in good faith to provide fair criticism. As per industry standard, if you disagree with the review or find it objectionable, your sole remedy is to request it not be published on our site (as outlined above), and not to engage in litigation.

By entering this agreement, you waive any right to pursue legal action in response to the review’s content or the fact that it was published. (Of course, this doesn’t waive rights in unrelated scenarios – it specifically covers disputes over the review content and service.) Release: You release N3UR4L and its agents from any claims or liability arising from the service, except as explicitly allowed under these terms. If you are unhappy enough with the service that you feel a dispute is necessary, you agree to the dispute resolution mechanisms herein rather than any public smear campaigns or unfounded complaints. We value constructive feedback, but you agree not to hold us liable for the subjective elements of this service. Basis of the Bargain: All the disclaimers and limitations of liability stated above are part of the basis on which we offer this service for the price charged. If you did not agree to these limitations, the fee for the service would likely be much higher to account for risk (or we would not offer the service). By proceeding, you acknowledge the reasonableness of these disclaimers and limits.

Governing Law and Dispute Resolution

Governing Law: This agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law principles. We are an Arizona-based business, and we choose Arizona law to govern our relationship. Jurisdiction and Venue: You agree that the state and federal courts located in the State of Arizona shall have exclusive jurisdiction to adjudicate any dispute arising out of or relating to this Terms of Service or our book review service. You consent to the personal jurisdiction of these courts. In practice, this means if there is a need for a lawsuit between us, it will be filed in a court in Arizona (for example, in Maricopa County Superior Court or the U.S. District Court for the District of Arizona), and Arizona law will apply. You waive any objections to venue or jurisdiction that you might otherwise have (such as claiming it’s an inconvenient forum).

(Optional – Arbitration): Alternative Dispute Resolution: At N3UR4L’s option, we may require any dispute to be resolved through binding arbitration rather than in court, especially for smaller claims. If so, arbitration would be conducted by a neutral arbitrator in Arizona and under the rules of a recognized arbitration organization. Each party would bear its own costs and attorney fees, with the arbitrator empowered to award those in extreme cases. The decision of the arbitrator would be enforceable in any court of competent jurisdiction. Class Action Waiver: You agree that any dispute resolution will be conducted on an individual basis only, and you will not bring claims against N3UR4L as a plaintiff or class member in any class, consolidated, or representative action. (We include this to prevent class-action litigation, but realistically, this service doesn’t lend itself to that anyway.) Injunctive Relief: Notwithstanding the above, N3UR4L retains the right to seek injunctive or equitable relief in an Arizona court to protect our intellectual property (for instance, if you misuse our review content beyond the license, or if someone else tries to infringe our copyrights or trademarks).

Changes to These Terms

N3UR4L may update or modify these Terms of Service from time to time. If we make material changes, we will post the revised terms on our website (and update the “last updated” date at the top, if provided). We may also notify recent customers of significant changes via email. Price changes or changes to key policies will typically be communicated in advance or upon your next order. However, any changes will not apply retroactively to orders that were placed under a previous version of the terms. The terms that were in effect at the time of your order will generally govern that transaction. By continuing to use our services or by ordering new reviews after any changes to the terms, you agree to the updated Terms of Service. If you do not agree with the changes, you should not continue to use the service. It is your responsibility to review the Terms of Service periodically to be aware of any updates. For convenience, we will keep an accessible archive of past terms or a summary of changes if the updates are substantial.

Miscellaneous

Entire Agreement: These Terms of Service constitute the entire agreement between you and N3UR4L regarding the book review service. They supersede any prior or contemporaneous communications (whether oral or written) regarding the service. Any additional or different terms you seek to impose (for example, in a purchase order or in correspondence) are void unless agreed to in writing by N3UR4L. Severability: If any provision of these terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision will be severed, and the remaining provisions will remain in full effect. The invalid provision will be interpreted, if possible, to fulfill its intended purpose, and if that is not possible, it will be replaced by a valid provision that most closely matches the intent of the original. No Waiver: N3UR4L’s failure to enforce any part of these Terms of Service is not a waiver of our right to later enforce that or any other part of the terms. A waiver of any term shall only be effective if in writing and signed by an authorized representative of N3UR4L. Assignment: You may not assign or transfer your rights or obligations under these terms to anyone else without our prior written consent. N3UR4L may assign its rights and obligations to an affiliate or in the event of a merger or acquisition, or to any entity that continues the service. Relationship of Parties: Nothing in these terms creates any partnership, joint venture, employment, or agency relationship between you and N3UR4L. We are an independent service provider to you. Headings: Section headings in this agreement are for convenience only and have no legal effect.
